Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Uai, LLC ("Ui", "we", "our", or "us") governing your access to and use of the Ui Universal Identity Platform, including our website at uometry.ai, our mobile applications, APIs, and all related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Platform.

If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

Ui is a living identity platform that enables individuals, organizations, and AI agents to establish, maintain, and verify identity without relying on traditional credentials such as usernames and passwords.

The Platform is currently in active deployment. Features, capabilities, and availability may evolve as we continue development. We will provide reasonable notice of material changes that affect your use of the Platform.

To use the Platform, you must:

— Be at least 13 years of age (or the minimum age required in your jurisdiction)
— Have the legal capacity to enter into a binding agreement
— Not be prohibited from using the Platform under applicable law
— Provide accurate and complete information when creating your account

If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Account Creation: To access the Platform, you must create a Ui account. You agree to provide accurate, current, and complete information and to keep that information updated.

Account Security: You are responsible for maintaining the security of your trusted devices and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

One Account Per Person: Each individual may maintain only one personal Ui account. You may not create accounts on behalf of others without their explicit consent.

Account Termination: You may delete your account at any time. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law.

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

— Use the Platform to impersonate any person or entity or misrepresent your identity
— Attempt to circumvent, disable, or interfere with security features of the Platform
— Use the Platform to transmit malware, viruses, or other harmful code
— Attempt to gain unauthorized access to any part of the Platform or its related systems
— Use automated means to access the Platform without our express written permission
— Use the Platform in any manner that could damage, disable, or impair the Platform
— Collect or harvest personal information of other users without their consent
— Use the Platform for any purpose that violates applicable law or regulation
— Reverse engineer, decompile, or disassemble any part of the Platform

We reserve the right to investigate and take appropriate action against violations, including suspending or terminating accounts and reporting to law enforcement.

Uai, LLC Ownership: The Platform, including its technology, design, software, algorithms, Uometry Engine, identity architecture, and all related intellectual property, is owned by Uai, LLC and protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited license described herein.

Your License: Subject to your compliance with these Terms, Uai, LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes.

Your Identity Data: Your identity data — the information that constitutes your Ui — belongs to you. Uai, LLC claims no ownership over your personal identity data. We hold it in trust on your behalf and process it solely to provide the Platform.

Feedback: If you provide feedback, suggestions, or ideas about the Platform, you grant Uai, LLC a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation to you.

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you agree to the collection, use, and sharing of your information as described in our Privacy Policy.

Our foundational commitment: we do not sell your identity data. We do not use it for advertising. You control who can access your Ui and you can revoke that access at any time.

The Platform enables you to connect your Ui identity to third-party applications, systems, and services. When you authorize such connections:

— You are granting that third party permission to verify your identity through Ui
— Uai, LLC is not responsible for the practices, policies, or actions of third-party services
— You should review the privacy policies and terms of any third-party service before connecting
— You can revoke third-party access to your Ui at any time through your account settings

Uai, LLC does not endorse any third-party service and makes no representations about their security, reliability, or compliance with applicable law.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

Uai, LLC does not warrant that the Platform will be available at all times, that it will be free from errors or security vulnerabilities, or that any defects will be corrected. While we implement robust security measures, no system is perfectly secure.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UAI, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL UAI, LLC'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO UAI, LLC IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the limitation of liability for certain types of damages, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Uai, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

— Your access to or use of the Platform
— Your violation of these Terms
— Your violation of any third-party rights, including intellectual property or privacy rights
— Any content you submit, post, or transmit through the Platform

These Terms are governed by the laws of the United States and the state in which Uai, LLC is organized, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Platform shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.

We may update these Terms from time to time. When we make material changes, we will notify you by updating the effective date and, where appropriate, by sending you a direct notification or displaying a prominent notice on the Platform.

Your continued use of the Platform after changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Uai, LLC regarding the Platform and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
